Terms of Service

Welcome to Live Again, a service operated by Goldstein EQ LLC (“Live Again,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are a legal agreement between you and Live Again and govern your access to and use of our website, products, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Service Description
Live Again provides AI-powered tools that help you preserve and revisit memories of loved ones. Our Services allow you to upload and manage content such as photos, audio recordings, voicemails, text messages, and other materials (“User Content”) to create personalized AI companions that can:
- Share stories and memories based on the information you provide;
- Generate text-based responses;
- In some plans, generate AI voice outputs that may resemble a person’s voice.

These AI companions are designed to support remembrance and reflection. They are not real people, and they are not intended to replace human relationships, therapy, or professional advice.

2. Eligibility
- You must be at least 18 years old to use the Services.
- By using the Services, you represent and warrant that you are at least 18 and have the legal capacity to enter into these Terms.
- If you use the Services on behalf of another person or an organization, you represent that you are authorized to do so and that they agree to these Terms.

3. Account Registration and Security
- To use certain features, you may need to create an account and provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to notify us promptly at sam@goldsteineq.com if you suspect any unauthorized access to or use of your account.
- We may suspend or close your account if we believe it has been compromised or used in violation of these Terms.

4. Acceptable Use
You agree to use the Services only for lawful and appropriate purposes. You will not:
- Upload, create, or share content that is illegal, hateful, harassing, threatening, abusive, defamatory, obscene, or otherwise harmful;
- Use the Services to impersonate any living person or to mislead others into believing an AI companion is a real, living individual;
- Use the Services to violate the privacy, publicity, or other rights of any person;
- Upload content that you do not have the right to use, including content that infringes any copyright, trademark, or other intellectual property right;
- Attempt to reverse engineer, interfere with, disrupt, or damage the Services or our systems;
- Use the Services for any medical, legal, financial, or other professional advice purposes.

We may remove or restrict access to any User Content or suspend your access to the Services if we believe you have violated these Terms or applicable law.

5. AI Transparency and Limitations
- The AI companions created through the Services are generated by artificial intelligence models. They do not think, feel, or remember in a human way.
- Any responses, stories, or voice outputs are generated based on patterns in data and the User Content you provide. They may be inaccurate, incomplete, or inappropriate.
- The AI companions are not a substitute for professional mental health care, medical care, legal advice, financial advice, or any other professional service.
- You should not rely on any AI-generated content for decisions that could affect your health, safety, finances, or legal rights.

By using the Services, you acknowledge and agree that:
- You understand the AI nature of the companions;
- You will use your own judgment when interacting with AI-generated content;
- You accept the risks of inaccuracies or unexpected outputs.

6. Subscription Plans and Billing
Live Again may offer different subscription plans. As of these Terms, typical plans may include (names and prices are for general description only and do not constitute a binding offer):
- Text Companion: approximately $29 per month, focused on text-based AI interactions;
- Voice Companion: approximately $49 per month, including AI-generated voice features where available;
- Legacy Package: approximately $99 per month, designed for more extensive media uploads and advanced features.

Plan names, features, and prices may change over time and may vary by promotion or region. The exact terms of your plan, including price and billing period, will be shown at checkout or in your account.

By starting a paid subscription, you agree that:
- You authorize us (and our payment processors) to charge the applicable subscription fees and any taxes to your chosen payment method on a recurring basis (e.g., monthly) until you cancel;
- You are responsible for keeping your payment information accurate and up to date;
- Unless otherwise stated, fees are non-refundable, except where required by law.

You may cancel your subscription according to the instructions provided in your account or in our help materials. Cancellation will generally take effect at the end of your current billing period, and you will continue to have access to the Services until then.

7. Intellectual Property
- The Services, including all software, design, text, graphics, logos, and other content we provide (excluding your User Content), are owned by or licensed to Live Again and are protected by copyright, trademark, and other laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, in accordance with these Terms.
- You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services or any part of them, except as expressly allowed by us in writing.

Our trademarks, trade names, logos, and brand elements may not be used without our prior written permission.

8. User Content and Privacy Summary
- You retain ownership of your User Content. By uploading or providing User Content to the Services, you grant Live Again a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, and use that content as needed to provide, maintain, improve, and protect the Services.
- This includes using your User Content to generate AI companions and related outputs for you, and to improve our models and systems in a way that respects our privacy commitments.

We use reasonable safeguards to protect your information. However:
- No system can be guaranteed 100% secure;
- You are responsible for choosing what you share and for keeping your account secure.

For full details on how we collect, use, and protect your personal data and media, please review our separate Privacy Policy, which is incorporated into these Terms by reference. If there is any conflict between this summary and the Privacy Policy, the Privacy Policy controls with respect to data practices.

9. Payment, Renewals, and Cancellations
- All prices are shown in U.S. dollars (USD), unless stated otherwise.
- Taxes may be added to your charges as required by law.
- Subscriptions generally renew automatically at the end of each billing period unless you cancel before the renewal date.
- If a payment fails, we may attempt to process it again or suspend or terminate your access to the paid features until payment is successful.

10. Disclaimers
The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Any warranties that the Services will be uninterrupted, error-free, secure, or free of harmful components;
- Any warranties regarding the accuracy, reliability, or completeness of AI-generated content.

You understand and agree that your use of the Services, including any reliance on AI-generated content, is at your own risk.

11. No Medical, Legal, or Financial Advice
The Services and any AI-generated content are for informational and emotional support purposes only. They do not provide:
- Medical or mental health advice, diagnosis, or treatment;
- Legal advice or legal services;
- Financial, tax, or investment advice.

Always seek the advice of qualified professionals for questions about your health, legal rights, or finances. Do not ignore or delay seeking professional advice because of something you read, hear, or experience through the Services.

12. Limitation of Liability
To the fullest extent permitted by law:
- Live Again and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of or inability to use the Services;
- Our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to us for the Services in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those cases, our liability will be limited to the maximum extent permitted by law.

13. Termination and Suspension
We may suspend or terminate your access to the Services, or any part of them, at any time if:
- You violate these Terms or any applicable law;
- We believe your use of the Services may harm us, other users, or third parties;
- We discontinue or materially change the Services.

You may stop using the Services at any time and may cancel your subscription as described above. Upon termination or cancellation:
- Your right to access and use the Services will end;
- We may retain certain information as required or permitted by law, or as described in our Privacy Policy.

14. SMS/Text Message Consent
If you provide your phone number and choose to receive SMS or text messages from us:
- You consent to receive recurring text messages related to your account, security alerts, service updates, reminders, and occasional promotional messages, at the phone number you provide;
- Message and data rates may apply, depending on your mobile carrier and plan;
- Message frequency may vary.

You can opt out of receiving promotional text messages at any time by following the instructions in the message (for example, replying “STOP”). You may still receive important transactional or service-related messages as allowed by law.

15. Governing Law
These Terms and any dispute or claim arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Ohio, USA, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the end of this document and may provide additional notice as required by law.

Your continued use of the Services after the updated Terms become effective means you accept the changes. If you do not agree to the updated Terms, you must stop using the Services.
